Terms of Service

1. What this agreement covers

These Terms of Service ("Terms") govern your use of the Giljo HQ software, the Giljo HQ hosted service, and the giljo.ai website, provided by GiljoAI LLC, a New Hampshire limited liability company ("GiljoAI," "we," "us").

By creating an account, downloading, installing, or using Giljo HQ, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the software or service.

If you purchase a hosted-service subscription, your payment transaction is with Polar Software, Inc. ("Polar"), our Merchant of Record and authorized reseller, under Polar's Buyer Terms. Your right to use the product is granted by GiljoAI under these Terms. In the event of conflict, Polar's Buyer Terms govern the payment transaction and these Terms govern the product and service.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to create an account. If you use the service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

You may register directly or sign in through a third-party identity provider (Google or GitHub). If you use a third-party provider, your use of that provider is governed by its own terms, and you authorize us to receive basic profile information (name, email address, account identifier) from it for account creation and sign-in. We never receive your Google or GitHub password. Losing access to your provider account may prevent access to your GiljoAI account; account recovery options are described in our documentation.

You are responsible for the accuracy of your registration information, for keeping your credentials confidential, and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

3. Product description

Giljo HQ is a context engineering platform for AI-assisted software development. It manages context, generates structured prompts, and coordinates agent workflows.

Giljo HQ does NOT include:

• AI model access or inference capabilities
• Token credits or API quotas for any AI provider
• AI coding agent harnesses and their subscriptions (Claude Code, Codex, OpenCode, etc.)

You must have a separate subscription to an MCP-compatible AI coding agent to use Giljo HQ. GiljoAI is not affiliated with Anthropic, OpenAI, or Google.

4. Editions and licensing

4.1 Community Edition

Giljo HQ Community Edition is source-available under the Elastic License 2.0 (ELv2), a widely used source-available license.

Under ELv2, you may use the software internally for any purpose (personal, professional, or commercial), whether you are one user or a whole team; inspect, modify, and self-host the source code; and distribute modified or unmodified copies, subject to the conditions below.

ELv2 has three core restrictions: you may not provide the software to third parties as a hosted or managed service; you may not circumvent any license-key or feature-limitation functionality; and you may not remove or obscure any licensing, copyright, or other notices.

The full license text is included with every distribution and is available at github.com/giljoai/giljo-hq/blob/master/LICENSE. The ELv2 license, not these Terms, governs your rights in the Community Edition source code. These Terms govern your use of the giljo.ai website and any GiljoAI accounts or services.

4.2 The hosted service

The hosted service is a paid subscription offering operated by GiljoAI LLC and governed by these Terms, the Refund Policy, and the Privacy Policy.

Free trial. New accounts receive a 7-day free trial beginning at registration. No payment method is collected to start a trial, and the trial never converts to a paid subscription automatically. When the trial ends without a subscription, your account enters a read-only state: you can sign in, view, and export your data, but not create or modify it. Trial data is retained and deleted as described in Section 8.

Subscription and renewal. The hosted service is offered monthly ($10 USD) or annually ($96 USD, a 20% discount versus the monthly rate), plus applicable taxes calculated at checkout. Subscriptions automatically renew at the then-current rate at the end of each billing cycle until canceled. Renewal terms, price, and the cancellation method are disclosed at checkout before you subscribe.

Cancellation. You can cancel anytime from your account dashboard or through the Polar customer portal. Cancellation stops future renewals; access continues through the end of the current paid period, after which your account enters the read-only state described above.

Price changes. We may change subscription prices with at least 30 days' notice by email before the change takes effect at your next renewal. If you do not agree to a price change, cancel before it takes effect.

Refunds. Subscription payments are generally non-refundable except where required by law, card network rules, or approved by Polar or GiljoAI support. Statutory withdrawal rights, including those for consumers in the EU and UK, are honored through Polar as Merchant of Record. See the Refund Policy.

5. Acceptable use

You may not use the hosted service to:

• Violate any applicable law or the rights of others
• Probe, scan, or test the vulnerability of the service, or breach or circumvent authentication or security measures, except through good-faith security research as described on our Security page
• Interfere with or disrupt the service, or impose an unreasonable load on its infrastructure
• Resell, sublicense, or provide the hosted service to third parties as a service bureau or managed offering
• Circumvent trial, subscription, or plan enforcement mechanisms
• Store or transmit content that you have no right to use or that is unlawful

We may suspend or terminate accounts that violate this section, as described in Section 9.

6. Your responsibilities

All editions. You are responsible for your AI coding agent subscriptions, for your credentials, and for reviewing, testing, and validating all code produced by AI agents coordinated through Giljo HQ.

Community Edition (self-hosted). You are additionally responsible for your infrastructure, operating system, network configuration, PostgreSQL installation, backups, and data integrity.

Hosted service. We operate the infrastructure and maintain routine backups for disaster recovery. Those backups are not a substitute for your own exports: you are responsible for maintaining exports of any data you cannot afford to lose, using the export tools provided in your dashboard.

7. Service availability

We aim to keep the hosted service available continuously but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, with reasonable notice where practicable. No service level agreement (SLA) is offered for the hosted service.

If we discontinue the hosted service entirely, we will provide at least 30 days' notice and a means to export your data.

8. Your data: export and deletion

You retain full ownership of all data you create within Giljo HQ (see Section 10). For the hosted service:

• Export. You may export your account data at any time from the dashboard, including during the trial and during the post-cancellation read-only window.
• Retention after trial expiry, cancellation, or non-renewal. Your account becomes read-only: you can sign in to view and export your data, or resubscribe, at any time, but you cannot create or change data. Read-only access continues until your account is deleted. If you do not return, your data, including your backup archives, is permanently deleted one year after your paid access ended, with a reminder email sent roughly 30 days beforehand. While your subscription is active, your data is retained.
• Deletion requests. You may request account deletion at any time; deletion follows an email confirmation step and is permanent. At confirmation you choose immediate deletion or an optional 30-day grace period, on the schedule described in the Privacy Policy; a statutory erasure request is completed within the one-month period required by law. If you have an active subscription, deletion will cancel it; your access to the service ends with deletion and no further charges occur. Payment and transaction records are held by Polar and its payment processors under their own legal retention obligations and are not deleted by us.
• Residual copies. Deleted data may persist in encrypted disaster-recovery backups and in our hosting provider's point-in-time recovery archive until those expire on the schedules stated in the Privacy Policy.

9. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use poses a security risk to the service or other users. Where practicable, we will notify you and give you an opportunity to cure before termination. Upon termination for breach, the data retention terms in Section 8 apply unless the law requires otherwise.

You may terminate at any time by canceling your subscription and, if you wish, requesting account deletion.

10. Intellectual property

Your data. You retain full ownership of all products, projects, vision documents, agent configurations, 360 Memory entries, and any other data you create within Giljo HQ.

GiljoAI software. The Giljo HQ software, including its source code, documentation, and branding, is the property of GiljoAI LLC and is protected by applicable intellectual property laws. GILJO is a trademark of GiljoAI LLC.

AI-generated output. Code and other content generated by AI coding agents coordinated through Giljo HQ is subject to the terms of your AI coding agent provider. GiljoAI makes no claims on AI-generated output.

Feedback. If you submit feedback or suggestions about the software or service, you grant GiljoAI a perpetual, irrevocable, royalty-free license to use them without obligation to you. Code contributions to the public repository are governed by the repository's contribution terms.

11. Disclaimer of warranties

Giljo HQ is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of implied warranties, so this exclusion may not apply to you in full.

12. Limitation of liability

In no event shall GiljoAI LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

GiljoAI LLC's total liability shall not exceed the amounts you paid for the service in the twelve (12) months preceding the event giving rise to the claim. For the free Community Edition and free trials, this amount is zero.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits rights that consumers have under mandatory consumer protection law, including the New Hampshire Consumer Protection Act, RSA 358-A, where applicable.

13. Indemnification

You agree to indemnify and hold harmless GiljoAI LLC from third-party claims, damages, and reasonable expenses (including attorneys' fees) arising from your violation of these Terms, your violation of applicable law, or your infringement of third-party rights in connection with your use of the software or service.

14. No professional advice

Giljo HQ is a developer tool. Nothing in the software, its documentation, or its output constitutes professional, legal, financial, or medical advice. Use your professional judgment when acting on any output from AI agents coordinated through this platform.

15. Changes to these Terms

We may modify these Terms. For material changes affecting subscribers, we will provide notice by email or in-app notice at least 30 days before the change takes effect, and we may ask you to re-accept the updated Terms at sign-in. Continued use after the effective date constitutes acceptance. If you do not agree, cancel before the change takes effect. Each version of these Terms is dated and archived; the version you accepted is recorded with your account.

16. Governing law and disputes

These Terms are governed by the laws of the State of New Hampshire, without regard to conflict of law provisions. Exclusive venue for disputes is the state courts sitting in Hillsborough County, New Hampshire, or the United States District Court for the District of New Hampshire, and the parties consent to personal jurisdiction there.

If you are a consumer residing in a jurisdiction whose law grants you non-waivable rights or a different mandatory venue, nothing in this section deprives you of those protections.

17. Miscellaneous

These Terms, together with the Privacy Policy, the Refund Policy, and, for the Community Edition source code, the Elastic License 2.0, constitute the entire agreement between you and GiljoAI regarding the software and service. If any provision is found unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
